Bonded Affiliate Agreement

  • Effective Date: When you click "Accept" or activate your affiliate link.
  • Parties: Bonded & Sutured LLC ("Bonded," "we," "us") and you ("Affiliate," "you").
  • Program URL: https://bonded-dental.com/affiliate – controls current payouts.

1. Definitions

  • Employer Subscription:

    Any paid employer plan (Annual, Quarterly, Monthly).

  • Candidate Activation:

    A candidate creating and maintaining a paid account.

  • Conversion Date:

    The date the qualifying event occurs – this date governs rate eligibility.

  • Rate Card:

    The published payout table at the Program URL.

2. Payouts (Rate Card + Tiers)

Commissions are paid only on qualifying events:

  • Employers: paid on successful charges after the pending window, not free signups.
  • Candidates: paid on Activation, not free signups.

Current Ratecard:

  • Offices (employers)
    • Annual plans
      • Premium payout: $160 per annual
      • Plus payout: $96 per annual
    • Monthly plans
      • Premium payout: $30 per new monthly
      • Plus payout: $15 per new monthly
  • Employees (job seekers)
    • Premium payout: $5 per paid employee
    • Plus payout: $1.67 per paid employee

3. Pending Windows / Clawbacks / Caps

  • Pending Periods: Annual 30 days · Quarterly / Monthly 45-60 days · Candidate 14-30 days.
  • Clawbacks: Refunds, chargebacks, fraud, or failed Activations within the window reverse commissions.
  • Caps & Reserves: Bonded may set temporary monthly caps or hold reserves for abnormal activity.

4. Attribution & Tracking

  • Model: Last-click, 30-day cookie; server-side events override client-side data.
  • Your unique link or ID must be used; no retroactive credits without tracking evidence.
  • Firebase's data is the final source of truth for all attribution disputes.

5. Compliance & Conduct

You must follow FTC and platform rules:

  • Disclosure: Every promotion must state that you may earn a commission (e.g., "As a Bonded Partner, I may earn a commission if you sign up through my link.")
  • No income claims, spam, self-referrals, or misrepresentation.
  • No bidding on Bonded trademarks or confusing brand imitations.
  • Use only approved creative and claims when provided.
  • Violations forfeit commissions and may terminate your account.

6. Rate Card Changes (Flexibility Clause)

  • Bonded may update the Rate Card to maintain ≥ 3:1 LTGP:CAC and reflect market conditions.
  • Changes take effect 14 days after notice and apply to Conversions after the effective date (the Conversion Date controls, not click date).

7. Payment Terms

  • Payouts are issued monthly (net-30) after pending windows clear.
  • Minimum payout threshold: $15.
  • Balances carry forward until threshold is met.
  • Valid payment method and tax form (W-9 or W-8BEN) required before payout.
  • You are responsible for taxes on income received.

8. Term & Termination

  • At-Will: Either party may terminate with 14 days' notice.
  • Immediate Termination for Cause: fraud, non-compliance, or violation of this Agreement.
  • Commissions earned from eligible Conversions before termination follow pending / clawback rules.
  • Upon termination, all licenses and brand asset permissions end.

9. Intellectual Property & Confidentiality

  • Bonded grants you a revocable, non-exclusive license to use approved brand assets solely for affiliate promotion.
  • You must not alter logos or represent yourself as Bonded staff.
  • Treat all non-public information as confidential and use it only for promotion under this Agreement.
  • Comply with privacy laws (GDPR, CCPA); no scraping or unauthorized data use.

10. Independent Contractor

  • You are an independent contractor, not an employee or agent of Bonded.
  • You bear all expenses and liabilities arising from your promotions.

11. Contests, Bonuses, and Leaderboards

  • Bonded may run time-boxed contests or leaderboards with separate rules.
  • Winners are paid under those rules using "Leftover CAC" if available, preserving overall economics.

12. Amendments & Notices

  • Bonded may update this Agreement or Rate Card with 14 days' notice via email or dashboard alert.
  • Continued participation after the effective date constitutes acceptance of the revised terms.

13. Governing Law & Disputes

  • This Agreement is governed by the laws of the State of Montana, U.S.A., without regard to conflict of law principles.
  • Any disputes shall be resolved in state or federal courts located in Montana.
